By accessing or using the tradejournal.co.za website and platform (the "Service"), operated by Tapnet Solutions (Pty) Ltd (trading as TradeJournal), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Tapnet Solutions (Pty) Ltd. Please read them carefully before using the Service.

This policy applies to tradejournal.co.za and all other websites, applications, and digital services operated by Tapnet Solutions (Pty) Ltd.

To use the Service, you must:

• Be at least 18 years of age;
• Be legally capable of entering into binding contracts under South African law;
• Not be prohibited from using the Service under any applicable law or regulation.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements.

When you create an account on the Service, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account.

You must notify us immediately at wynand@tapnet.co.za if you become aware of any unauthorised use of your account or any other breach of security.

Tapnet Solutions (Pty) Ltd will not be liable for any loss or damage arising from your failure to protect your account credentials.

TradeJournal is a trading journal platform that provides tools for recording, analysing, and reviewing your trading activity. The Service includes features such as trade logging, performance analytics, journaling, and educational resources.

You agree not to use the Service to:

• Engage in any illegal, unlawful, or fraudulent activity;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
• Use automated tools, bots, scrapers, or similar technology to access or extract data from the Service;
• Commercially redistribute, resell, or sublicense any part of the Service or its content without prior written consent from Tapnet Solutions (Pty) Ltd;
• Interfere with or disrupt the integrity, security, or performance of the Service;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate your account if you violate these acceptable use provisions.

All content, features, functionality, design, graphics, trademarks, logos, and software comprising the Service are owned by Tapnet Solutions (Pty) Ltd or its licensors and are protected by South African and international intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without the prior written permission of Tapnet Solutions (Pty) Ltd.

Your Trading Data: You retain full ownership of all trading data, journal entries, and other content you enter into the Service.

You retain all intellectual property rights in the journal entries, trade records, notes, and other content you create or upload to the Service ("User Content").

By using the Service, you grant Tapnet Solutions (Pty) Ltd a limited, non-exclusive, royalty-free licence to store, process, display, and transmit your User Content solely for the purpose of operating and providing the Service to you. This licence terminates when you delete your User Content or close your account.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not infringe upon the rights of any third party.

The Service does not constitute financial, investment, or trading advice. Any reliance you place on information obtained through the Service is strictly at your own risk.

To the maximum extent permitted by the laws of the Republic of South Africa, Tapnet Solutions (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to:

• Any trading losses or financial losses you incur;
• Loss or corruption of data;
• Loss of profits, revenue, or business opportunities;
• Service interruptions or downtime.

Nothing in these Terms excludes liability that cannot be excluded under South African law, including liability for fraud or gross negligence.

You agree to indemnify, defend, and hold harmless Tapnet Solutions (Pty) Ltd, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your User Content or any content you submit through the Service;
• Any trading or investment decisions you make based on your use of the Service.

You should consult with a licensed financial advisor registered with the FSCA before making any trading or investment decisions.

The Service may contain links to third-party websites, services, or content that are not owned or controlled by Tapnet Solutions (Pty) Ltd. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

The inclusion of any link does not imply endorsement, approval, or affiliation by Tapnet Solutions (Pty) Ltd. You access third-party websites and services at your own risk and subject to their respective terms and conditions.

Either party may terminate this agreement at any time. You may close your account by contacting us at wynand@tapnet.co.za.

Tapnet Solutions (Pty) Ltd reserves the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, the Service, or Tapnet Solutions (Pty) Ltd.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

You agree that the courts of the Gauteng Division of the High Court of South Africa shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or your use of the Service.

In the event of any dispute arising out of or in connection with these Terms or the Service, the parties agree to the following procedure:

• Good Faith Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation for a period of not less than 30 days.
• Mediation: If the dispute cannot be resolved through negotiation, the parties shall submit the matter to mediation in Gauteng, South Africa, in accordance with the rules of a mutually agreed mediation body.
• Litigation: If mediation fails, either party may institute proceedings in the Gauteng Division of the High Court of South Africa.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by sending you an email notification or displaying a prominent notice on the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving its original intent.
